Robert B. Murphy, Sr.
Co-Chair
Of Counsel, Dykema Gossett PLLP

Robert Murphy is Of Counsel in the Commercial Department of Dykema Gossett PLLP and is resident in the Washington, DC office.  He advises public and private companies on corporate and securities law issues surrounding corporate finance transactions and mergers and acquisitions, including private and public securities offerings (IPOs, repeat and secondary offerings, convertible notes offerings, PIPEs and Regulation S/offshore offerings), exchange tender offers, proxy contests, asset and stock purchases, venture capital financings and other commercial transactions.

Mr. Murphy also counsels public companies on disclosure and corporate governance issues, shareholder relations and United States Securities and Exchange Commission (SEC) and stock exchange compliance and listing matters.  His clients have included companies in the information technology, life sciences, telecommunications, financial services, manufacturing, mining and retail industries.  Mr. Murphy began his legal career at the SEC, where he was an attorney-adviser in the Division of Corporation Finance.  He lectures and writes frequently about securities law and corporate finance issues.  He has appeared as a panelist of numerous programs regarding developments in securities and corporate law.

Mr. Murphy is chairman of the BIO IT Coalition®, a not-for-profit organization for the advancement of information technology as an integral discipline in life science research, diagnostics and therapeutic discoveries.  The work of the Coalition is achieved through education, collaboration, professional development and partnership.

He is active in the community, volunteering with the Boy Scouts of America, St. John's College High School and youth hockey.  He is currently the Head Coach for the Villanova University Women's Ice Hockey Team.

Mr. Murphy is a graduate of the University of Notre Dame (BA, 1978), University of Minnesota (MBA, 1980), Villanova University School of Law (JD, 1983) and Georgetown University Law Center (LL.M., Securities Regulation, 1987).  He is a member of the District of Columbia and Pennsylvania bars.

Christopher Royse
Co-Chair
Tauri Group

Christopher "Chris" Royse currently serves as the Director of International Security Operations for the Tauri Group in Alexandria, VA.  His duties include supporting U.S. Government customers in their efforts to combat weapons of mass destruction and defend the homeland.  Chris previously worked for SAIC in support of the DOD's Cooperative Threat Reduction program where he lead a contractor team responsible for executing projects to secure and make safe former biological warfare facilities in the Former Soviet Union.  Chris' government service includes serving in the United States Army as a Special Operator and the FBI as a support employee.  Chris is an Adjunct Professor in George Washington University's Department of Forensics and is a frequent guest lecturer at George Mason University.  He has earned a B.A. in Political Science and Master of Humanities degrees from Wright State University in Dayton, OH and a Master of Science in Bioscience Management from George Mason University.

Eileen Mandell
Corporate Secretary and Program Chair

Eileen Mandell was the Marketing Coordinator, Mid Atlantic Region for Pepper Hamilton LLP. Since joining the Firm in October of 2000, she has been responsible for producing the business radio program Tomorrow's Business, an informative, interview format show, on WBIS 1190 AM, on which a business leader, frequently a CEO of a corporation, discusses the future of his or her industry.  Now in its tenth year, Tomorrow's Business is broadcast each Monday at 4: -5:00 p.m. and can be heard live on

Ms. Mandell also helped develop the Washington region's BIO IT Coalition, a group of organizations and individuals interested in the markets at the intersection of life sciences and IT.  Ms. Mandell has developed the programs for the Annual BIO IT Coalition Conferences since 2002.

She worked for The Container Store where she helped open the first DC area store, helped create a regional marketing position and outfitted and staffed a senior citizen apartment in partnership with the Fairfax County Commission on Aging.

David A. Wormser
Director
Partner, Pepper Hamilton LLP

David A. Wormser is a commercial and intellectual property partner in the Washington office of Pepper Hamilton  LLP.  He is a member of Pepper's Executive Committee and serves as the partner-in-charge of the firm's Washington office.

Mr. Wormser works with high-technology businesses - telecommunications, information technology and biotechnology companies - to obtain maximum value for their products, services, technologies and, often, their companies, and with the purchasers of high-tech goods and services (and the technology itself) to ensure that they obtain the value for which they are paying.

Mr. Wormser routinely:

•  represents buyers and sellers of high-tech goods and services in negotiating purchase and sale agreements, service agreements, software licenses, outsourcing arrangements, domestic and international marketing and distribution agreements, e-commerce agreements, Web hosting agreements and content agreements

•  represents technology owners and acquirers in negotiating licenses for patents, copyrights and trademarks; product development agreements; and corporate partnering and technology joint venture arrangements

•  counsels high-tech companies on the perfection and protection of their copyrights, patents and patentable inventions, and other intellectual property rights

•  represents purchasers and sellers of high-tech companies

•  negotiates venture capital investments on behalf of companies and investors

•  counsels companies on the full range of issues affecting e-commerce operations

•  serves as outside general counsel to various small and medium-sized high-tech companies.

By way of example, Mr. Wormser has represented:

•  a cable multiple system operator (MSO) in its acquisition of mission-critical back-office equipment and software, network and customer premises equipment and related professional services

•  a wireless technology company in licensing its patent portfolio to major cellular handset and infrastructure equipment manufacturers

•  a pharmaceutical development company in its negotiations to license in patented compounds

•  a consumer products company in its acquisition of an ERP system

•  shareholders in the sale of their professional services company

•  a wide variety of companies as outside general counsel, including a medical imaging equipment manufacturer, a distance learning company, a telecommunications equipment distributor and a telecommunications operations support system (OSS) producer.

Mr. Wormser graduated from the Ohio State University College of Law in 1980, after earning a B.S. in accounting from Miami University.  He joined Pepper after serving as assistant general counsel to the Association of Data Processing Service Organizations (since renamed the Information Technology Association of America). Mr. Wormser is a past member of the Steering Committee for the District of Columbia Bar Computer Law Section, and past president of the District of Columbia Computer Law Forum.

Jay Doniger, Ph.D.
Chief Science Officer
CEO, American Medical Records Network, Inc.

Jay Doniger is the Chief Executive Officer and a founding partner of American Medical Records Networks, Inc. (AMRN), an information management service company for private medical practices.  AMRN provides physicians with a comprehensive electronic patient record integrated with practice management and financial systems.  Dr. Doniger is also the President and Founder of BITS (BIO Information Technology Strategies), a consulting company dedicated to providing the Life Sciences industry with the best, cost effective, and integrated IT infrastructure to facilitate bringing products to market cheaper and faster.

Dr. Doniger has spent over a quarter of a century as a biomedical research scientist at Georgetown University, the National Cancer Institute, Brookhaven National Laboratory, and Brandeis University.  He has served as an Associate Professor of Obstetrics and Gynecology at Georgetown University Medical Center and the Director of the Human Papillomavirus Laboratory at Georgetown's Vincent T. Lombardi Cancer Research Center.  Currently he is a member of the BioMedTech and Entrepreneur Committees of the Northern Virginia Technology Council, the BIO IT Coalition, and the Advisory Board of the Masters of Bioscience Management Program at George Mason University.

Judi Giannini
Operations and Membership Chair

Judi Giannini was a Marketing Assistant at Pepper Hamilton LLP.  She joined the firm in December of 2003 and is responsible for preparing attorney marketing materials for meetings, events and presentations.  She also assists in coordinating all aspects of external and internal firm events.

For the BIO IT Coalition, Ms. Giannini assists in planning the monthly luncheon meetings and the annual conference.  She also manages the Coalition's membership, the membership database, correspondence, bookkeeping and accounting.  In addition she assists in all aspects of marketing and fundraising for the BIO IT Coalition.

Prior to joining Pepper Hamilton LLP and the BIO IT Coalition, Ms. Giannini had her own company, Giannini & Talent, where she was an account executive for commercial photographers.

She lives with her husband and two sons in Springfield, VA and is active in her community.  She volunteers at North Springfield Elementary School and is an art docent with the Greater Reston Arts Center, Arts in School program (GRACE AIS).  She also teaches Sunday School at St. Johns United Methodist Church and is a part time face painter.
